Terms of Service

Effective Date: May 2026Welcome to Thinkii. These Terms of Service ("Terms") govern your access to and use of the Thinkii mobile application, website, and related services (collectively, the "Service").By accessing or using Thinkii, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Service.

1. Eligibility

You must be at least 13 years old to use Thinkii. The minimum age varies by jurisdiction:- General (Canada, most countries): 13 years old. If you are under the age of majority in your jurisdiction, you may only use the Service with verifiable parental or guardian consent.
- South Korea: 14 years old. Users under 14 must have verifiable parental or guardian consent as required by PIPA.
- Japan: Users under approximately 15 years old should obtain parental or guardian consent before using Thinkii, in line with guidance from Japan's Personal Information Protection Commission.
- South Africa: Users under 18 must have parental or guardian consent as required by POPIA.
- Brazil: Users under 18 must have parental or guardian consent as required by the LGPD.
Thinkii is not intended for children below the applicable minimum age in their jurisdiction. If we discover an account belonging to a child below the applicable minimum age without the required consent, we will delete it promptly.

2. Account Access and Security

- Thinkii accounts are created using Apple Sign-In or Google Sign-In.
- You are responsible for maintaining the security of your account and device.
- You are responsible for all activity that occurs under your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or create security risk.
You may revoke Google or Apple access at any time through your account security settings.

3. Acceptable Use

You agree not to:- Violate any applicable laws or regulations.
- Infringe on intellectual property rights.
- Attempt to interfere with, disrupt, or compromise the Service.
- Use automated systems (bots, scrapers) to access or extract data.
- Use the Service in a way that creates legal exposure for Thinkii.
You agree not to submit sensitive personal information through the Thinkii service, including passwords, financial account numbers, government identification numbers, or medical information. Thinkii is designed for general task organization and planning purposes only.Consent and Optional Features
Certain features within Thinkii — including AI-assisted task creation and analytics — are optional and require your consent to activate. If you choose not to enable these features, all free Thinkii functionality remains fully available to you. Declining consent for optional and paid features has no effect on your access to tasks, notes, checklists, or any other core free features of the Service.

4. User Content

You retain ownership of the content you create within Thinkii (tasks, notes, reminders, etc.).By using the Service, you grant Thinkii a limited, non-exclusive, royalty-free, worldwide license to use, store, process, and display your content solely for the purpose of operating and improving the Service.Thinkii does not make your content publicly accessible and does not sell user content.You are solely responsible for the content you create, store, or submit through the Service. You agree not to store or transmit content that is unlawful, harmful, infringing, defamatory, or that violates the rights of any third party.

5. Third-Party Services and Integrations

Thinkii relies on trusted third-party service providers to operate and deliver features. These may include Apple, Google, Firebase, Google Cloud Platform, RevenueCat, and other infrastructure providers.Your use of these third-party services is subject to their respective terms and privacy policies. Thinkii does not control and is not responsible for the independent policies or practices of these third parties.Authentication Services
Thinkii uses Apple Sign-In and Google Sign-In for secure account authentication. We request only the minimum information necessary to create and manage your account (such as email and basic profile information).
Google Calendar (Optional Integration)
If you choose to connect your Google Calendar, Thinkii requests read-only access solely to display calendar events within the app. Thinkii does not create, modify, delete, or permanently store your calendar data.
Cloud Hosting and Infrastructure
Thinkii uses Firebase and Google Cloud Platform to securely store and process data. Service availability may depend on the performance and uptime of these providers.
Push Notifications
Reminder delivery relies on Apple Push Notification Service (APNs), Firebase Cloud Messaging (FCM), device operating system settings, and internet connectivity. Thinkii does not guarantee notification delivery where these systems fail or are restricted.
Artificial Intelligence Features
Certain features use artificial intelligence services to process user input (including voice transcripts) and generate structured tasks or suggestions. AI-generated outputs are produced automatically and may contain inaccuracies, omissions, or unintended results.
AI features are provided for organizational and informational purposes only and should not be relied upon for professional, legal, medical, financial, or safety-critical decisions.You are responsible for reviewing and confirming any AI-generated content before relying on it or saving it within your Thinkii account. Thinkii does not guarantee the accuracy, completeness, or reliability of AI-generated outputs.For details on how AI features process your data, including what is sent to third-party AI services, see our Privacy Policy.By using the Service, you acknowledge that certain features depend on third-party systems outside of Thinkii's direct control.Analytics
Thinkii may collect non-content usage data (such as feature usage and session activity) to improve the Service. This data does not include personal task content and is used in accordance with our Privacy Policy.

6. No Professional Advice & No Reliance

Thinkii is a personal organization tool only. It does not provide legal, medical, financial, or professional advice.You are solely responsible for verifying deadlines, obligations, appointments, and important dates. You agree not to rely exclusively on the Service for time-sensitive, legal, financial, medical, or other critical matters.Thinkii does not guarantee that tasks will be completed, remembered, or acted upon, and assumes no responsibility for missed deadlines, obligations, or personal outcomes resulting from use of the Service.

7. No Guarantee of Reminders or Notifications

Reminder delivery depends on device settings, operating system permissions, internet connectivity, and third-party services such as Apple Push Notification Service or Firebase Cloud Messaging.Thinkii does not guarantee that reminders, alerts, or calendar displays will be delivered accurately or on time.You are responsible for maintaining alternative systems for critical obligations.

8. Data & Backup Responsibility

While Thinkii implements reasonable safeguards, we do not guarantee permanent preservation of user data.You are responsible for maintaining independent backups of important information.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available."To the fullest extent permitted by law, Thinkii disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.We do not warrant that the Service will be secure, free of bugs, or continuously available.

10. Limitation of Liability

To the fullest extent permitted by law, Thinkii Inc., its founders, affiliates, officers, employees, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, lost opportunities, missed deadlines, business interruption, or data loss.This limitation applies regardless of the legal theory (contract, tort, negligence, statutory claim, or otherwise).The total cumulative liability of Thinkii Inc. and its founders, officers, employees, contractors, and service providers arising out of or related to the Service shall not exceed the greater of:(a) $100 CAD; or
(b) the amount you paid to Thinkii in the 12 months preceding the claim.
Some jurisdictions do not allow certain limitations on liability, and in those cases liability will be limited to the maximum extent permitted by law. Without limiting the foregoing:Australia: Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable Australian legislation. Where the Australian Consumer Law applies, Thinkii's liability for failure to comply with a consumer guarantee is limited, to the extent permitted by law, to resupply of the Service or payment of the cost of resupply.New Zealand: Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded by contract.Brazil: Nothing in these Terms excludes or limits rights you have as a consumer under the Código de Defesa do Consumidor (Law No. 8,078/1990) that cannot be waived by contract.South Korea: Nothing in these Terms excludes or limits rights you have under the Act on Consumer Protection in Electronic Commerce or other applicable Korean consumer protection laws that cannot be waived.South Africa: Nothing in these Terms excludes or limits rights you have under the Consumer Protection Act 68 of 2008 that cannot be excluded by contract.
European Economic Area: Nothing in these Terms excludes or limits rights you have under applicable EU consumer protection laws, including the Consumer Rights Directive (2011/83/EU) and any national implementing legislation, that cannot be waived or excluded by contract.

11. Indemnification

You agree to defend, indemnify, and hold harmless Thinkii Inc., its founders, affiliates, officers, and employees from any claims, damages, liabilities, and expenses arising from:- Your use of the Service;
- Your violation of these Terms; or
- Your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access at any time if:- You violate these Terms;
- Your actions create legal or security risk; or
- We discontinue the Service.
Upon termination, your right to use the Service ceases.If we terminate your account, you may contact [email protected] to request deletion of your personal data in accordance with our Privacy Policy. Termination of your account does not affect any data deletion rights you have under applicable law.

13. Payments and Subscriptions

Thinkii offers both free and paid subscription tiers. Certain premium features are available through an optional paid subscription.Free Trial
Thinkii may offer a 14-day free trial to eligible new subscribers.
If you begin a free trial:
You will not be charged during the 14-day trial period.
At the end of the trial, your subscription will automatically convert to a paid subscription unless canceled before the trial ends.
Cancellation must be completed at least 24 hours before the trial expiration to avoid being charged.
Free trials may be limited to one per user and may not be available in all circumstances.
Eligibility for free trials is determined at Thinkii's discretion and in accordance with platform provider policies.Billing Platform
All payments and subscriptions are processed through the Apple App Store or Google Play Store, depending on your device.
Thinkii does not collect, process, or store your credit card or payment details.
We use RevenueCat as a third-party service provider to manage subscription status, entitlement tracking, and purchase validation. RevenueCat processes subscription receipts and related transaction metadata solely for the purpose of verifying and managing access to paid features.Your subscription is subject to the billing terms and conditions of the applicable platform provider (Apple or Google). In the event of a conflict between these Terms and the platform provider's terms, the platform provider's terms will govern billing matters.Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless canceled before renewal.
You may manage or cancel your subscription at any time through your Apple App Store or Google Play account settings.
Deleting the Thinkii app does not automatically cancel your subscription.
Pricing and Changes
Subscription pricing and features will be clearly displayed prior to purchase.
Thinkii reserves the right to modify subscription pricing or available features at any time. Any pricing changes will take effect at the next billing cycle following notice and in accordance with applicable platform rules.
Refunds
Refund requests are handled exclusively by Apple or Google in accordance with their respective refund policies.
Thinkii does not have the ability to issue refunds directly and cannot override platform refund decisions.
Failed or Reversed Payments
If a payment fails, is declined, or is reversed, access to paid features may be suspended until the subscription is reinstated through the applicable platform.
Thinkii reserves the right to revoke access to premium features in cases of chargebacks, fraudulent activity, or repeated payment failures.
License to Paid Features
A paid subscription grants you a limited, non-transferable, non-exclusive license to access premium features during the active subscription period. Subscription access does not transfer ownership of any Thinkii intellectual property.

14. Force Majeure

Thinkii shall not be liable for delays or failure to perform resulting from causes beyond reasonable control, including but not limited to internet outages, cloud provider disruptions, cyberattacks, natural disasters, or government actions.

15. International Users

Thinkii is operated from Canada but is available globally. Thinkii is not available in Russia, India, China, Turkey, or Saudi Arabia. Users in these regions are not permitted to use the Service.By using the Service, you understand that your information may be processed in Canada, the United States, or other jurisdictions where our service providers operate.We take reasonable steps to ensure that personal information is handled securely and in accordance with applicable data protection laws. For full details of how we handle your data by region, please see our Privacy Policy.Where mandatory local consumer protection or data protection laws apply in your country of residence, those laws supplement these Terms and, in the event of a direct conflict, may take precedence over these Terms with respect to your use of the Service. Nothing in these Terms is intended to limit any rights you have under the mandatory laws of your country of residence.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.Consumer Carve-Out: If you are a consumer located in a jurisdiction whose mandatory laws require disputes to be governed by the laws of your country of residence — including but not limited to Australia, New Zealand, Brazil, South Korea, South Africa, and Mexico — then the mandatory consumer protection laws of your country will apply to your use of the Service to the extent required by those laws, notwithstanding the Ontario governing law above.Informal Resolution: Before initiating any legal action, you agree to contact us at [email protected] and allow 30 days for good-faith resolution.Class Action Waiver: You agree that disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action. Notwithstanding the foregoing, this waiver does not apply to the extent it is prohibited or unenforceable under the mandatory consumer protection laws of your jurisdiction, including but not limited to laws in Australia, Brazil, South Korea, and South Africa.Optional arbitration may be used if both parties agree, under the Arbitration Act, 1991 (Ontario).

17. Changes to These Terms

We may update these Terms periodically to reflect product, legal, or operational changes.If we make material changes, we will provide notice through appropriate means — such as an in-app notification, email to your registered address, or a prominent notice on our website — before the changes take effect where required by applicable law.Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to any notice requirements under the laws of your jurisdiction.We encourage you to review these Terms periodically.

18. Survival

The following provisions shall survive termination of these Terms: User Content, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions which by their nature should survive termination.
